Introduction<\/strong><\/p>

The General Terms and Conditions of zalakaros.hu (hereinafter: the Terms and Conditions) set out the\u00a0Zalakaros Tourist Association<\/b>\u00a0on the zalakaros.hu online retail website operated by (hereinafter: the Service Provider) (http:\/\/zalakaros.hu<\/a>) (hereinafter: zalakaros.hu) sets out the terms and conditions governing the use of the online advertising and other supplementary services available on the website.<\/p>

\u00a0<\/p>

The scope of these General Terms and Conditions extends to legal relationships arising on the Service Provider\u2019s website (http:\/\/zalakaros.hu) and its subdomains. These General Terms and Conditions are available at all times on the following website:\u00a0https:\/\/<\/a>www.zalakaros.hu\/aszf<\/a><\/p>

The contract drawn up on the basis of this document shall not be filed; it shall be concluded exclusively in electronic form; it shall not be regarded as a written contract; it shall be drafted in Hungarian; and it shall make no reference to a code of conduct.<\/p>

Scope and Amendment of the General Terms and Conditions<\/strong><\/p>

\u00a01. These General Terms and Conditions set out the rights and obligations of the parties in relation to the use of the website and all contractual relationships falling within the scope of the Service Provider\u2019s services, as well as the conditions relating to the use of other services.<\/p>

\u00a02. These General Terms and Conditions apply to all Users (visitors and partners). The provisions of these General Terms and Conditions bind and entitle the Service Provider and the Users, as well as all their representatives, successors in title and assignees.<\/p>

\u00a03. Matters not covered by these Terms and Conditions, as well as the interpretation of these Terms and Conditions, shall be governed by Hungarian law, with particular reference to Act V of 2013 on the Civil Code (\u201ePtk.\u201d) and the relevant provisions of Act CVIII of 2001 on certain aspects of electronic commerce services and information society services (the Electronic Commerce Act). The mandatory provisions of the relevant legislation shall apply to the parties even in the absence of any specific agreement to that effect.<\/p>

\u00a04. These General Terms and Conditions shall take effect on 22 February 2018 and shall remain in force until further notice. These GTC also apply to service agreements entered into prior to their entry into force, in that Users accept the provisions of these GTC at the same time as they order or renew individual services.<\/p>

\u00a05. The Service Provider is entitled to unilaterally amend the General Terms and Conditions, provided that Users affected by the amendment are given prior notice. The Service Provider shall publish the amendments on its website 11 (eleven) days before they come into force. For Users who are new to the Service, the amended GTC shall come into force on the date of their publication. By ordering the service, Users accept the provisions of these GTC, even if they have not entered into a contract with the Service Provider.<\/p>

\u00a06. By accessing the website operated by the Service Provider or viewing its content in any way \u2013 even if the User is not a registered user of the website \u2013 the User acknowledges that the provisions of these Terms and Conditions are binding upon them. If the User does not accept these terms and conditions, they are not entitled to view the content of the website.<\/p>

General provisions<\/strong><\/p>

1. The Service Provider reserves all rights in respect of the website, any part thereof and the content appearing on it, as well as the distribution of the website.<\/p>

\u00a02. It is prohibited to download, store electronically, process or sell the content appearing on the website, or any part thereof, without the Service Provider\u2019s written consent. Even with written consent, any material taken from the website or its database may only be reproduced with a reference to the website in question.<\/p>

\u00a03. Given that the content of the website may be amended independently of the Service Provider, and that the content is provided for information purposes only \u2013 unless otherwise provided for by applicable law \u2013 the Service Provider accepts no liability for the accuracy or reliability of the website\u2019s content.<\/p>

\u00a04. The Service Provider accepts no liability for content created, published or sent by third parties, which have been uploaded by third parties and\/or uploaded by the Service Provider on behalf of third parties to the Service Provider\u2019s system, or to which the website refers.<\/p>

\u00a05. Furthermore, the Service Provider accepts no liability for websites to which content, links, etc. posted by Users point. Should any problems arise in connection with links published in this way, the Service Provider disclaims all liability in every respect.<\/p>

\u00a06. The Service Provider reserves the right to amend the content of the website at any time, or to discontinue access to it in accordance with the provisions of these General Terms and Conditions.<\/p>

\u00a07. The Service Provider does not guarantee that access to the website will be uninterrupted. The Service Provider excludes liability for any loss arising from faults not attributable to the Service Provider, or from any operational disruptions exceeding the Service Provider\u2019s annual 99.5% availability commitment.<\/p>

Responsibilities<\/strong><\/p>

1. The Service Provider operates the zalakaros.hu website as an intermediary service provider, in accordance with the provisions of the Ekrtv. The Service Provider accepts no liability whatsoever for any advertisements, notices, offers, other offers, or with any contracts concluded on the basis thereof or the failure to conclude any such contract, nor in connection with any fault in or termination of the service.<\/p>

\u00a02.\u00a0The Service Provider shall make every effort to ensure the accuracy and completeness of the data provided by the companies featured on the website; however, the Service Provider accepts no liability for any loss or damage arising from any inaccuracies or omissions in the data contained on the website.<\/p>

\u00a03. The User may rely on the materials available on the website solely at their own risk. The User acknowledges that it is also their own responsibility to keep abreast of any changes to the materials and data on the website.<\/p>

\u00a04. The Service Provider undertakes to ensure 99.5% availability for the operation of its web-based Services and websites. The Parties exclude the Service Provider\u2019s liability for any downtime or other disruptions exceeding this tolerance limit. Access and other operational tasks provided by another service provider are exempt from this obligation. The Service Provider shall not be held liable for operational disruptions or access faults that are not attributable to the Service Provider or that are caused by the involvement of another service provider.<\/p>

\u00a05. Subject to the exceptions set out in legislation, the User bears sole responsibility for the legality of any content provided or submitted by them on the website, as well as for their use of the service.<\/p>

\u00a06. The User is solely responsible for the content and presentation of the material published on the website, as well as for the accuracy of the information. The Service Provider accepts no liability for any damages, losses or loss of profit arising from the materials posted on zalakaros.hu, including any damages caused to third parties. Furthermore, the Service Provider accepts no liability whatsoever for any damage arising from the use of the system, or for any disruptive statements or behaviour by any other party, or for any infringement of rights, including intellectual property rights.<\/p>

\u00a07. The Service Provider shall not intervene in legal disputes or transactions between Users; should any dispute arise, the User shall indemnify the Service Provider against all claims, demands and claims for damages.<\/p>

\u00a08. If any content published or made available by zalakaros.hu at the User\u2019s request infringes the law, the Service Provider may remove the infringing content following prior notification.<\/p>

\u00a09. Should a third party, authority or court makes a claim or initiates proceedings, the User undertakes to reimburse the Service Provider for all costs and damages arising in connection with such claims or proceedings. Furthermore, the User undertakes to do everything that the Service Provider may legitimately expect, request or demand of them in order to restore the Service Provider\u2019s reputation.<\/p>

\u00a010. The User is obliged to use the service for lawful and legitimate purposes and in a lawful and legitimate manner. The User acknowledges that the Service Provider shall not publish any content that contravenes Hungarian legislation or breaches the standards of the Hungarian Code of Advertising Ethics or the Code of Ethics for the Internet.<\/p>

\u00a011. The Service Provider shall not publish any content that contains or promotes unlawful or morally objectionable activities, or that is not based on factual information.<\/p>

\u00a012. It is the User\u2019s responsibility to ensure they have the Internet access required to use the service, as well as the necessary equipment (hardware and software, and their appropriate settings).<\/p>

\u00a013. The User shall be fully liable to the Service Provider for any claims brought against the Service Provider by a third party in connection with the User\u2019s activities.<\/p>

\u00a014. The User acknowledges and accepts that the Service Provider shall determine the placement, context \u2013 including any advertisements placed directly alongside the User\u2019s content \u2013 and order of the User\u2019s content. \u00a0The User may not object to the placement of other content on the same page, nor may they make any claim regarding other advertisements \u2013 including those of competitors \u2013 appearing in the immediate or indirect vicinity of their content.<\/p>

\u00a015. The User acknowledges that they are not authorised to send advertising or other messages to the email addresses provided by other Users on the Website that are detrimental to the Service Provider\u2019s business interests or reputation. In particular, any message that deviates from the purpose for which the email address was made public is detrimental to the Service Provider\u2019s business interests. \u00a0Should the User nevertheless do so and continue to do so despite a warning sent by the Service Provider, even by email, the Parties shall regard this as a breach of contract, and the User shall be obliged to pay a penalty to the Service Provider. The amount of the penalty is 100,000 HUF. The Service Provider is entitled to record such messages in its own system and to use them as evidence of the infringement.<\/p>

Fees for the Service<\/strong><\/p>

  1. The website service is free of charge for Users.<\/li><\/ol>

    \u00a0<\/p>

    Refusal of service<\/strong><\/p>

    1. The Service Provider shall not publish, and is entitled to remove, any content that misleadingly gives the impression that the Service Provider endorses the product or service advertised in that content.<\/p>

    \u00a02. The Service Provider may also refuse to provide the Service if it cannot be provided for technical reasons, or if it breaches any provision of these General Terms and Conditions. The Service Provider shall suspend the display of any content that has already been published and which contravenes the provisions of these GTC.<\/p>

    \u00a03. Should bankruptcy, liquidation or voluntary winding-up proceedings be commenced against the User, the Service Provider shall be entitled to refuse to provide further Services.<\/p>

    \u00a04. At the same time as refusing to provide the Service, the Service Provider is entitled to terminate all of the User\u2019s contracts with immediate effect, provided that, in the event of a refusal to perform in accordance with this clause, the Service Provider shall not be liable for any damages or warranty obligations.<\/p>

    Copyright<\/strong><\/p>

    1. The Service Provider reserves all rights in respect of the Badzalakaros.de\/Wellnesszalakaros.cz website, any part thereof and the content appearing on it, as well as the distribution of the website.<\/p>

    \u00a02. As the zalakaros.hu website constitutes a copyright-protected work, it is prohibited to download (reproduce) or otherwise use, storing it electronically, processing it or selling it without the Service Provider\u2019s written consent.<\/p>

    \u00a03. Any material taken from the zalakaros.hu website and its database may only be reproduced, even with written consent, if a reference is made to that website.<\/p>

    \u00a04. The Service Provider reserves all rights to all elements of its service, its domain names, any subdomains derived from them, and its online advertising spaces. Under no circumstances may the use of the services result in anyone decompiling, reverse-engineering or otherwise infringing the Service Provider\u2019s intellectual property rights.<\/p>

    \u00a05. It is also prohibited to adapt or reverse-engineer the content of the zalakaros.hu website or any part thereof; the creation of user IDs and passwords by dishonest means; or the use of any application that allows the zalakaros.hu website or any part thereof to be modified or indexed (e.g. a web crawler or any other reverse-engineering tool).<\/p>

    \u00a06. The name \u2018zalakaros.hu\u2019 is protected by copyright; its use, with the exception of linking to the site, is permitted only with the Service Provider\u2019s written consent.<\/p>

    \u00a07. Users may save parts of the website to their hard drive or print them out for their own personal use, but even in such cases, they shall not be entitled to the further use, distribution, photocopying, reproduction, storage in a database, making available for download, or commercial exploitation of the reproduced parts of the website.<\/p>

    Other provisions<\/strong><\/p>

    1. The Service Provider is entitled to engage a third party to assist in the fulfilment of its obligations. It shall bear full liability for any unlawful conduct on the part of such a third party, as if it had committed the unlawful conduct itself.<\/p>

    \u00a02. Should any part of these General Terms and Conditions become invalid, unlawful or unenforceable, this shall not affect the validity, legality or enforceability of the remaining parts.<\/p>

    \u00a03. Should the Service Provider fail to exercise a right to which it is entitled under the GTC, such failure shall not be deemed a waiver of that right. Any waiver of a right shall only be valid if it is set out in an express written statement to that effect. The fact that the Service Provider does not, on a single occasion, strictly insist on compliance with a material term or condition of the GTC does not mean that it waives its right to insist on strict compliance with that term or condition at a later date.<\/p>

    \u00a04. The Service Provider and the User shall endeavour to settle any disputes between them amicably. The User and the Service Provider hereby agree that, with regard to any legal disputes falling within the scope of these General Terms and Conditions which cannot be resolved by mutual agreement within 30 (thirty) calendar days, the User and the Service Provider hereby agree that the court with jurisdiction at the Service Provider\u2019s registered office shall have exclusive jurisdiction.<\/p>
